  • Assisting in a consortium led by Government of Singapore Investment Corporation, in respect of a stake in a toll road operator.
  • Acting as Singapore counsel for one of the tenderers who submitted bids in the Land Transport Authority (LTA)’s call for tenders for the right to operate the first bus package under the Government Contracting Model (as it was then known).
  • Advising a government agency on the debt restructuring of a desalination facility and power plant.
  • Advising an MNC, in a design and build project for the construction and commissioning of a production facility in Singapore and procurement contracts for the design, manufacture and installation of a production plant.
  • Advising the employer in the drafting of the tender documentation and the conditions of contract for the development and construction of a data centre in Singapore.
  • Acting for Emirates National Oil Company (Singapore), a subsidiary of the ENOC, a wholly-owned Dubai Government company, on transfer pricing issues and performed a tax analysis of its business process.
Project Finance & Investment

Our lawyers have acted for financiers, sponsors, project companies and government agencies across a broad spectrum of matters in the region and internationally including in relation to the financing of power & desalination plants, oil & gas assets, renewable energy assets, telecommunications assets, iconic developments and integrated resorts. We are alive to traditional considerations including security structures and intercreditor arrangements, direct agreements and step-in rights as well as increasingly relevant considerations such as green finance solutions.

Financing

Our experience includes:

  • Acting for Resorts World at Sentosa Pte. Ltd., in its syndication of up to S$4.1925 billion (US$3 billion) syndicated senior secured credit facilities for the construction and development of a world-class integrated resort on Singapore’s Sentosa Island.
  • Acting for a syndicate of lenders financing part of China Huaneng Group's S$4.2 billion acquisition of Tuas Power, one of three gencos divested by Temasek Holdings, the Singapore Government's investment arm.
  • Advising a NASDAQ-listed borrowing group in the business of manufacturing solar modules and harnessing solar energy as Singapore counsel in relation to obtaining of multi-million dollar revolving and swingline loans from a syndicate of international banks.
  • Acting for the lenders in relation to specific Singapore law security aspects of the multi-billion dollar development by PT Cirebon Energi Prasarana of the 1,000 MW expansion of the Cirebon coal-fired power plant in West Java, Indonesia.
  • Acting for Hyflux Ltd and its subsidiaries in relation to the construction and estimated $890 million project financing of Singapore's second desalination plant, as well as the documentation and advice in relation to the design, engineering, construction, erection, completion, testing and commissioning of a combined cycle gas turbine power plant.

M&A

  • Acting for Banpu PCL as Singapore counsel in relation to the sale of its 47.5% shareholding in Sunseap Holding Pte. Ltd. to EDP Renováveis, S.A. for approximately S$490 million. Sunseap Group Pte. Ltd. is an energy system developer, owner and operator in Singapore, which portfolio includes 5.5GW of renewable projects across nine markets in Southeast Asia.
  • Acted for Sumitomo Mitsui Construction Co., Ltd. as Singapore counsel in the acquisition of shares in Antara Koh Private Limited (“AKPL”) for S$88 million on 23 December 2021. AKPL is a specialist contractor in the field of civil engineering and marine structure, jetty and harbour construction which has a regional presence in Singapore, Malaysia, Indonesia, Vietnam, Cambodia, Myanmar, Thailand, India and Bangladesh.
  • Acted for RSK Group Limited, a UK-headquartered international environmental, engineering and technical services businesses, as Singapore counsel in its acquisition of Black & Veatch’s Water Europe and Water Asia business which have since been rebranded under Binnies.
  • Acted for a Canadian infrastructure fund in its restructuring of its solar energy business in the Asian region.
  • Acted for a South-east Asia head-quartered group in a competitive bid process for utilities assets which were situated in South-east Asia.
Energy & Construction

The team draws on its top tier energy, oil & gas and construction and engineering expertise in advising on project contracts (including O&M contracts, concession agreements, offtake and supply agreements and EPC contracts), related risks and mitigation of such risks. Our lawyers have advised on all construction project documentation relevant to various sectors including power, pharmaceutical and desalination plants.

Our experience includes:

  • Advising the developer on all construction project documentation (including EPC and O&M contracts) for the design, construction and commissioning of its gas-fired thermal power project in Taipei, Republic of Taiwan.
  • Advising the master developer on its US$10 billion island project off the north-eastern coast of Abu Dhabi in relation to its contracts for:
    • design and construction of roads and bridges
    • concession of and engineering, procurement, construction, operation and maintenance of a power distribution network (concession, DBO and off-take)
    • concession of and engineering, procurement, construction, operation and maintenance of its water and waste-water distribution network (concession, DBO and off-take)
    • concession, design and build and off-take agreements for the district cooling reticulation network and plant
  • Advising, negotiating and drafting advance payment contracts for term supply of crude worth more than US$1 billion. The advance payment arrangements involve complex waterfall and roll-over mechanisms with national oil companies and the government of an autonomous region in the Middle East.
  • Advising, negotiating and drafting a crude-product swap contract to off-take and swap Chelekan crude worth approximately US$300 million. The transaction involved complicated transportation arrangement to transport the crude out of the landed locked Caspian region.
  • Acting for a PRC state-owned oil company in an oil exploration, development and production project in East Africa.
Dispute Resolution

Our lawyers have represented clients in mediations, adjudications, arbitrations and court proceedings for the energy and infrastructure space including disputes relating to power plants, petroleum companies, oil and gas producers and coal producers. Our experience provides us with an understanding of the problems that land parties into dispute in the financing and implementation of projects, and allows us to guide our clients to avoid disputes as well as to advise on appropriate steps to protect and further our clients' interests. If a fight is unavoidable, we can provide our clients with representation by the leading disputes practice in Singapore.

  • Successfully defending one of the biggest Korean international construction companies, Daelim Industrial Co. Ltd (now rebranded as DL E&C), as counsel in an ad hoc arbitration under the UNCITRAL Rules 2010 involving claims amounting to US$434.7 million. The claims arise out of the Dahej project, which is construction of Asia’s biggest petrochemical plant.
  • Acting in a high stakes dispute between a Korean state-owned power company against its Indian partner and its shareholders in the construction of a coal-based power plant. The total of parties’ claim amounts in the SIAC arbitration exceeds US$600 million.
  • Acting for a Vietnamese state-linked entity (employer), against a Chinese state-linked construction company (contractor) in a Vietnam International Arbitration Centre (VIAC) US$210 million arbitration over a hydro-electric dam project in central Vietnam.
  • Acting for PT Koalindo Tuhup, a producer of premium coking coal, in various Singapore court proceedings and 4 SIAC arbitrations against their off-take partner over the rights to coal produced by the Tuhup mine in Central Kalimantan.
  • Advising a large land-based utility scale solar farm in Singapore and its related entities on various matters and acting for them in various adjudications and court proceedings in the Singapore courts.
