Cherlyn Seah is an Associate Director in Drew & Napier’s Corporate and Mergers & Acquisitions Practice Group. She is also a member of the Information Technology, Healthcare & Life Sciences (Corporate & Regulatory), and Employment Practice Groups.

She advises on a wide range of corporate and commercial matters, with particular experience in information technology, intellectual property, healthcare regulatory, and employment law. Cherlyn regularly assists clients with the commercialisation and exploitation of intellectual property rights, including research and development agreements, IP licensing, and software services agreements. She also advises on healthcare regulatory compliance, data privacy in the healthcare sector, and related agreements for clients in the biotechnology, medical devices, and pharmaceutical industries.

Her practice includes advising on fund raising, corporate restructuring, shareholder agreements, and employment matters such as employment handbooks, share option plans, and termination issues. Cherlyn’s clients include state-owned enterprises, multinational corporations, and local businesses across a variety of sectors.

  • Advised Metasurface Technologies Holdings Limited on its initial public offering on the Hong Kong Stock Exchange, raising net proceeds of approximately HKD 20.6 million. This was the second new listing on GEM of HKEX since 2022.
  • Acted for a state-owned business in negotiations with a SaaS provider for the development of a national bank application, advising on complex technology and intellectual property issues.
  •  Advised The Association of Banks in Singapore on the incorporation of Singapore Payments Network, a new payments entity set up by MAS and ABS to drive national payments objectives.
  • Acted for a precision oncology company, headquartered in Singapore and the U.S., in its Series A funding round led by a Singapore family office, raising USD 20 million.
  • Advised a super app company on the amendment and application of their employment share incentive plan. The employment share incentive plan involved the issuance of options, unvested restricted share units, share appreciation rights, and shares to employees.
