SICC adopts Chinese law in joint venture dispute

In the recent case of Bachmeer Capital Limited v Ong Chih Ching [2019] SGHC(I) 07, the Singapore International Commercial Court (“SICC”) heard a dispute between joint venture partners (which included Singaporean, Chinese nationals and a Russian) to develop an integrated winter resort in Qing Pu, Shanghai. 
 
In determining this dispute, the SICC found that:
 
(a) Chinese law applied to govern this joint venture; and
 
(b) the parties as shareholders in the special purpose vehicle, which was established in Hong Kong, did not owe any fiduciary duties to each other.
