When Can a Director Inspect a Company's Documents?

Drew & Napier’s Tony Yeo, Benjamin Gaw and Esther Foo acted successfully for the applicant in Hau Tau Khang v Sanur Indonesian Restaurant Pte Ltd & Anor [2011] SGHC 97.

In the course of the case, the Singapore High Court clarified the principles relating to a director’s right of inspection of the company’s accounts and other documents under section 199(3) of the Companies Act. A director is entitled, as of right, to have access to the company’s accounts and other documents, subject to certain exceptions.
