Drew & Napier wins M&A Deal of the Year award at IFLR Asia Awards 2014

Drew & Napier won the M&A Deal of the Year award at the prestigious International Financial Law Review (IFLR) Asia Awards 2014 ceremony in Hong Kong last evening. This was in recognition of our lawyers’ innovative work in the much publicised Fraser & Neave (F&N) contested takeover. 

The firm acted for the Offeror, a Special Purpose Vehicle formed by a consortium led by Overseas Union Enterprise Limited (OUE) in relation to its $13.1 billion voluntary conditional cash offer to acquire all of the issued and paid-up ordinary shares in F&N. The OUE offer was one of two competing offers for F&N, the other being the offer by TCC Assets Limited. The takeover of F&N was one of South-East Asia’s largest ever takeover. 

The team was led by Co-Heads of Mergers & Acquisitions Gary Pryke and Ralph Lim who advised OUE and OUE Baytown in relation to the takeover bid. Directors Lam Shiao Ning and Sean Ng advised OUE on the consortium arrangements. Directors Sandy Foo and Farhana Siddiqui and Associate Director Wang Shue Wen advised OUE on the financing of the bid.
