UK Court Of Appeal Rules That "Entire Agreement" Clause May Not Exclude Liability For Misrepresentation

The UK Court of Appeal has held that an “entire agreement” clause may not always effectively exclude liability for misrepresentation. Emphasis has to be placed on the precise language of such a clause. Liability for misrepresentation should always be expressly excluded.

The decision also offers guidance on how a clause may be drafted to exclude liability for misrepresentation.
