ICLG – Private Equity Laws and Regulations Singapore 2026 by Drew & Napier

Jon Nair, Tan Teng Sen, Yang Shi Yong, and Tan Jin Wei co-authored the Singapore chapter of ICLG – Private Equity Laws and Regulations 2026.

The chapter provides an overview of Singapore’s private equity market and common transactions, including buyouts, growth and venture capital investments, significant minority investments, and exits. It also examines acquisition structures (including the acquisition of public and private companies), governance arrangements, transaction terms, and tax considerations, in the context of the applicable legal and regulatory framework.

The chapter further highlights developments shaping Singapore’s private equity landscape, including the growing participation of sovereign wealth funds, family offices, and high-net-worth individuals.

Recent regulatory developments discussed include those related to foreign investments, the phased implementation of climate-related disclosures, and updates to corporate laws and the Singapore Code on Take-overs and Mergers.
