An express trust may be created over a domain name before the beneficiary exists as a legal entity

In the recent case of TWG Tea Company Pte Ltd v Murjani Manoj Mohan [2019] SGHC 117, the Singapore High Court considered whether it was possible for an express trust to be created in favour of the Plaintiff company before the company is incorporated. The Court held that it was possible, especially if the Defendant had evinced clear intentions to benefit a company that would soon be incorporated. The Singapore High Court also considered the Plaintiff’s alternative claim based on proprietary estoppel.
