Building and Construction

Cross border investments constitute a large part of our work. We provide services to institutional investors, corporate and individual shareholders and management. Apart from documenting these investments, we also provide advice on structuring, and solving structural and legal problems, and play a constructive role in negotiations. In jurisdictions that impose restrictions on foreign ownership, we provide effective legal alternatives which are enforceable, including the use of quasi equity instruments such as convertible bonds, loans and loanstock. Our tax specialists assist clients in arriving at a tax optimum structure both from the point of view of the jurisdiction of investment and the jurisdiction of remittance. For clients wishing to invest in the region through Singapore, we are able to share our experience with other investment outfits and to provide practical advice on structure, tax incentives and regulation.

Regional Desks
Each country desk has readily available resources (including a network of associates and local resources) pertaining to investment and related matters in the countries of specialisation. Each country specialist has worked on numerous investments and related matters in his country of specialisation, and is able to contribute a keen understanding of the problems and solutions to investments in those countries.

International and Multi-Jurisdictional Litigation
Our litigators are highly experienced in international litigation and frequently act in fraud cases where moneys have been channelled through various jurisdictions, with the accompanying need for mareva or other ancillary relief in several jurisdictions, and tracing and disclosure relief. They also represent clients seeking such reliefs in Singapore, and assist to co-ordinate actions in other jurisdictions, where necessary. We act for foreign clients who have obtained judgement against defendants in other jurisdictions and who need to enforce such judgement in Singapore and also for clients who are defending such claims. We advise on conflicts of laws issues and carry out enforcement procedures and where necessary, liaise with foreign law firms on behalf of the clients. Drew & Napier LLC also has extensive experience in cross border insolvency cases involving banking groups and multi-national corporations, and we work closely with international insolvency specialists and accounting groups (see Insolvency and Reorganisation).
