Drew & Napier LLC strengthens Banking & Corporate Practice

21 July 2008 – Leading Singapore law firm, Drew & Napier LLC ("Drew & Napier") welcomes onboard two new members to its Banking & Corporate Department. Marcus Chow who joins as a Director came from the Singapore Exchange and Kenneth Chee joins as an Associate Director from Allen & Gledhill.

About Marcus Chow

Marcus joins Drew & Napier from the Issuer Regulation department of Singapore Exchange where he performed a regulatory function. He had also practiced briefly with international law firms in New York and Hong Kong. Marcus is dually qualified in Singapore and New York. He regularly advises on corporate governance and stock exchange related matters. He had been involved in regional cross border jurisdictional transactions in China (including Taiwan and Hong Kong), India, Indonesia, Malaysia, Thailand and Vietnam. Marcus is conversant in both English and Chinese.

With approximately 8 years of experience, Marcus had previously worked on a "H share" Hong Kong listings, Regulation S and Rule 144A offerings of equity and fixed income products, including repackaged distressed debt and asset backed securities and Singapore listings. In addition, he had also worked on dual listings and other follow-on offerings. In the course of his work as a regulator, he had reviewed the IPO and follow-on offerings of various companies, REITs, business trusts and an investment fund. Also, he was involved in listing rule amendments to the listing manual of the Singapore Exchange and other regulatory initiatives such as regulatory updates.

About Kenneth Chee

Kenneth joins Drew & Napier as an Associate Director, bringing with him significant experience in private equity, mergers and acquisitions and REITs and business trusts.

His recent transactions include the CapitaRetail China Development Fund II and the CapitaRetail India Development Fund (combined fund size of over S$1.8 billion) by CapitaLand Limited, representing an investor in the Ascott Serviced Residence (China) Fund, which closed with capital commitments of US$500 million, and the Mapletree India-China (MIC) Fund, a dual-country total return fund with commitments of over US$600 million. In the course of his work, Kenneth has also represented a sovereign fund in its investment activities.

In addition, REITS are an area in which Kenneth has considerable experience, having been involved in establishing the initial public offering of Ascendas India Trust, Singapore's first listed Indian property trust, and the proposed initial public offering of APL Japan Trust. Kenneth also advised Suntec REIT and K-REIT Asia in their respective acquisitions of a one-third interest each in One Raffles Quay, with a combined deal size of over S$1.8 billion.

Aside from trust and funds experience, he has also led projects involving cross-border mergers and acquisitions of public listed as well as early-stage businesses in the technology, manufacturing, education and other sectors, with target companies located in the United States, Korea, Malaysia, Indonesia and China, amongst others. Given his keen interest in technology law, Kenneth has also advised numerous internet companies, systems integrators and software developers on structuring, licensing and other issues. He has been named in Asialaw Leading Lawyers as one of Asia's leading Information Techonology Lawyers.
