THE ADOPTION OF BREADTALK GROUP LIMITED (COMPANY) RESTRICTED SHARE GRANT PLAN (BREADTALK RSG PLAN)
-Drew & Napier LLC as counsel to the Restricted Share Grant ("RSG") plan-

28 April 2008 – Drew & Napier LLC (“Drew & Napier”) acted as counsel to the BreadTalk RSG Plan. The directors of the Company believe it will serve as a powerful incentive in retaining and motivating qualified and experienced employees to optimise their performance standards and efficiency in the strive for sustainable growth and prosperity for the Company. They also believe that it will encourage greater dedication and loyalty to the Company.The RSG Plan allows the Company to grant Performance-based Awards and Time-based Awards to its participants. Such participants include the Company's full-time employees, employees of associated companies and the executive and non-executive Directors of the Company and its subsidiaries.The shareholders of the Company approved the RSG Plan in the Extraordinary General Meeting held on 28 April 2008.
