About Sean
Sean joined Drew & Napier as a director in 2011 and has extensive experience in mergers and acquisitions, corporate investment, joint ventures, and project/acquisition finance.
He started practice in 1994 with a boutique law practice (where he eventually become a partner) working on banking and corporate commercial matters. He subsequently joined another local boutique law practice as a partner in 2001 before joining a real estate investment house as in-house counsel in 2007. As in-house counsel Sean worked on a wide range of real estate investment related matters including acquisitions, project finance and joint ventures.
While in practice he was recognised as “outstanding” in Corporate Commercial Law by Asian Legal Business Legal Who’s Who 2003, and mentioned as “recommended” for Corporate/M&A in the Asia Pacific Legal 500, 2003/2004 edition. Sean was also mentioned as “showing a ‘good service ethic and attention to detail, with excellent project management skills’” in the Asia Pacific Legal 500, 2005/2006 edition.
Areas of Practice
Sean’s area of practice covers corporate commercial law with emphasis on mergers & acquisitions (listed as well as private companies) and project/acquisition finance (including real estate and infrastructure related project and acquisition finance). He also has experience in venture capital related investment transactions.
Matters Sean has been involved in include:
- Advised Sanmina-SCI Corporation, a US listed Electronic Contracts Manufacturer in connection with the takeover of Pentex-Schweizer Circuits Limited, a Singapore listed electronics manufacturing firm by way of scheme of arrangement.
- As in-house counsel, the acquisition of all the strata units comprised in 111 Somerset Road Singapore (formerly Singapore Power Building) for a consideration exceeding S$1 billion.
- As in-house counsel, the refinancing and securitisation of the property known as “Capital Square” through the issue of S$320 million secured fixed rate senior notes, S$151 million secured fixed rate junior notes, and S$78 million redeemable preference shares.
- Advised companies on general corporate exercises such as acquisitions and disposal of assets, shareholder arrangements and joint ventures.
- Venture capital investments including investments in start-ups and biotech enterprises.
- Advised shareholders and directors on various legal issues relating to companies listed on the Singapore stock exchange.
- Advised on investment advisory and fund/asset management services arrangements.
- Financing transactions involving local and foreign parties, project and acquisition financing and other bank related work.
- Infrastructure PPP/PFI projects and financing.
