About Grace
Grace is an Associate Director in Drew & Napier LLC’s Corporate and Finance Department. She joined Drew & Napier LLC after graduating from the National University of Singapore in 2003.
Areas of Practice
Her main areas of practice are in Corporate Finance, Equity Capital Markets, and Mergers and Acquisitions.
Experience
Grace has been engaged in corporate finance transactions in recent years and was seconded for six months to Freshfields Bruckhaus Deringer, London in 2006. Her work includes acting as counsel in relation to initial public offerings of securities, mergers and acquisitions as well as advising Singapore-listed companies on company law and regulatory compliance issues. Some of the matters she has handled to-date include:
- Counsel to the S$156 million initial public offering and listing of Petra Foods Limited, which was nominated by Asian Legal Business as the Cross-border Equity Deal of the Year for 2004
- Counsel to the S$22.1 million initial public offering and listing of Sarin Technologies Ltd in 2005, the first Israeli company to be listed in Singapore
- Counsel to the S$18.4 million initial public offering and listing Asia Enterprises Holding Limited in 2005
- Counsel to the Underwriters in the S$202.4 million initial public offering and listing of China XLX Fertiliser Ltd. in 2007
- Counsel to the S$48.8 million initial public offering and listing of Healthway Medical Corporation Limited in 2008, one of the first Catalist listings in Singapore
- Counsel to the Underwriters in the S$25.2 million initial public offering and listing of PEC Ltd. in 2009
- Counsel to the Sole Global Co-ordinators in the secondary listing by introduction of Golden Ocean Group Limited in 2010, the first Norwegian dual listing in Singapore
- Counsel to Associated Newspapers in connection with its £3.9 million acquisition of 60% interest in Catchpole Communications, a company linked to free Dubai newspaper 7Days in 2006
- Counsel to Vantage Corporation Ltd in connection with its S$455 million acquisition of a medical services company, which constitutes a reverse take-over in 2007
- Advised as Singapore counsel to PacNet Limited in relation to its squeeze-out offer for Pacific Internet (S) Limited (f.k.a. Pacific Internet Limited, a NASDAQ-listed company) in 2008
- Advising Singapore-listed companies in relation to their placement exercises, major acquisitions, capital reductions, takeover offers, interested person transactions and other corporate exercises and regulatory compliance issues
