About Gary
Gary is the Managing Director and Head of the Corporate and Finance Department. Originally hailing from Johannesburg, South Africa, he is now a Singapore Citizen and has been in Singapore since 1985. He joined Drew & Napier in 1986 and became a partner in 1991. Since corporatisation of the firm in 2001, Gary has been a director of Drew & Napier LLC.
Recommended as a leading corporate lawyer, particularly in the field of mergers & acquisitions in many well-known publications. Gary’s primary area of practice is corporate finance, including mergers and acquisitions, securities and stock exchange related work, servicing financial institutions, and local and international corporate clients. He also has experience in acquisition, project and other finance work.

- Takeover offers for public listed companies including companies in the property, finance, manufacturing and industrial sectors.
- Mergers and acquisitions of listed and unlisted businesses in Singapore and the region.
- Rights issues, bonus issues, placements and other capital issues by listed companies.
- Group and capital restructuring.
- Acquisition, project, asset and other financing work.
- Advising financial institutions on regulatory matters.
Recent transactions
- Acted for Australia and New Zealand Banking Group, as Singapore counsel, for the acquisition of some of Royal Bank of Scotland's assets in Singapore and the region for US$550 million. The acquistion includes RBS's retail, wealth and commercial businesses in Singapore, Taiwan, Indonesia and Hong Kong. It also gives ANZ control of RBS's institutional businesses in Taiwan, the Philippines and Vietnam (Asian-Counsel Deals of the Year 2009);
- Advised STATS ChipPac in the US$2.024 billion takeover offer made by Temasek;;
- Advised PricewaterhouseCoopers Corporate Finance Pte Ltd (financial advisors to the acquirer) in Dubai Drydocks World LLC’s S$2.4 billion (US$1.63 billion) voluntary conditional cash offer for Labroy Marine Ltd;
- Advised Frontline Technologies in the US$144.8 million sale of their shareholdings to BT Group, one of the world’s largest telecom companies;
- Advised Deutsche Bank, the independent financial adviser to SembCorp Logistics Limited in Toll Holdings Limited’s proposed S$1.4 billion (US$923.97 million) takeover for SembCorp Logistics Limited;
- Advised MFS Technology Limited in M-Flex’s US$500 million takeover offer for MFS with the object of merging the two businesses to form what would have been the world’s second largest manufacturer of flexible printed circuits;
- Advised Chuan Hup Holdings in Walnut Pte Ltd’s S$369 million (US$244.37 million) takeover offer for it; and
- Acted for SunGard Asia Pacific Inc., a wholly owned subsidiary of SunGard Data Systems Inc., in its S$120 million conditional offer to acquire all the shares of System Access Limited, a company providing software solutions for the banking and financial services industry in South East Asia, China, Europe, the Middle East and Africa
