About Farhana

Farhana has over a decade of experience as a corporate finance lawyer. Farhana started her legal career with one of the most well-regarded corporate law specialist practices in Singapore where she was a director. Farhana left private practice for a period to work in Bangladesh as a legal counsel to the country’s first private power company. Farhana returned to private practice with her previous firm in 1999 and joined Drew & Napier LLC in 2004 where she has continued to be involved in some of the biggest corporate transactions in Singapore.

Farhana was made Director in July 2007.

Areas of Practice

Farhana’s area of speciality is in corporate finance. With over a decade of experience in a broad spectrum of corporate commercial matters, Farhana’s main practice focus is on Mergers and Acquisitions (specializing in public takeovers), and takeover finance.

Her other main practice area is fund management and fund regulatory work where Farhana has represented hedge funds, private equity funds, and structured numerous closed-end funds.

Given Farhana’s extensive experience and keen understanding of corporate, regulatory and finance laws and ability to provide creative solutions, Farhana is uniquely positioned to advice clients on a full spectrum of corporate and finance activities including structuring of various corporate transactions, regulatory advisory, restructurings, listed company requirements, syndicated finance and corporate governance requirements.

Farhana has recently authored the chapter on “Take-overs and Mergers” in Woon’s Corporations Law and is the editor of the securities law and regulations chapters in Halsbury’s.

  • Advising Eng Kong Holdings Ltd in connection with its takeover by Navis
  • Advising STATS ChipPac in Temasek’s $2.024 billion dollar takeover offer (ALB Singapore M&A Deal of the Year and M&A Deal of the Year 2008).
  • Advising GMG Global Ltd in connection with the partial take-over offer for 51% of the shares by Sinochem International (Overseas) Pte Ltd.
  • Advising Frontline Technologies Limited in connection with the US$144.8 million takeover offer by way of scheme of arrangement by BT Group.
  • Acting for Pricewaterhousecoopers Corporate Finance Ltd, the financial adviser to Dubai Drydocks World LLC, in its S$2.4 billion voluntary conditional offer for Labroy Marine Ltd.
  • Advising Macquarie Securities (Asia) Pte Ltd in connection with the takeover offer for United Test and Assembly Center Ltd.
  • Acting for Courts (Singapore) Limited in connection with the mandatory offer by Singapore Retail Group Limited.
  • Advising GE Betz Pte Ltd in connection with a restructuring of the GE business entities in Singapore.
  • Advising Nylex Malaysia Berhad in connection with its acquisition of shares in a Singapore entity.
  • Acting for MFS Technology Limited in connection with the proposed takeover of MFS by Multi-Fineline Electronix, Inc
  • Acting for Keppel Capital Holdings in connection with the $5.21 billion takeover offer of by Oversea-Chinese Banking Corporation
  • Acted for Swift Investments Holdings Pte Ltd in its sale of UBS Warburg & Associates (Singapore) Pte Ltd, a stock broking company, to the Overseas-Chinese Banking Corporation Group valued at S$124.5 million
Finance Transactions
  • Acting as Singapore counsel in connection with the acquisition financing for the takeovers of Amtek Engineering Ltd and Straits Trading Co. Ltd.
  • Acting for Bank of America in connection with a US$60 million syndicated facility for a Singapore company.
  • Acting as Singapore counsel to Standard Chartered Bank in a S$230 million secured bridge financing transaction
  • Acting as Singapore counsel to Banc of America Securities Limited and Credit Suisse in connection with a senior secured facility
  • Acting as Singapore counsel to The Royal Bank of Scotland plc in connection with a secured syndicated facility
  • Acting as Singapore counsel to National Australia Bank Ltd in connection with several structured finance transaction.
  • Acting for Khulna Power Company Pty Ltd in connection with its financing from IFC in respect of a 120MW barge mounted power plant project
Funds
  • Advising a various international investment bank on regulatory and licensing issues in Singapore
  • Advising various hedge funds on establishment and compliance issues in Singapore.
  • Acting for a Singapore based company in relation to structural advice on appropriate fund structures, regulatory advice on offering of shares in funds in Singapore and licensing issues for fund managers.
  • Advising Prudential Fund Management Services Private Limited and liaising with foreign counsel on their behalf in relation to the establishment of a fund in Vietnam.
  • Acting for a US-based fund manager in the proposed establishment of their fund management business in Singapore
  • Advising the Macquarie group on the Singapore law requirement for licensing in the regulated activity of fund management.
  • Acting for a hedge fund manager based primarily in Japan in the establishment of fund management operations in Singapore and advising on the licensing and compliance issues relating to fund management and the offering of securities.
  • Acted in the establishment of the India Merlion Funds, which are two private equity funds set up jointly by the Singapore government investment holding company and Standard Chartered Private Equity Ltd
