About Benedict
Benedict has 18 years’ experience representing and advising clients on various aspects of business, both domestic as well as cross border. In private practice since graduating from the National University of Singapore in 1988, Benedict found time to be a visiting counsel of GE Medical System Asia, an external examiner for the NUS Law Faculty, a member of the corporate practice committee of the Law Society of Singapore and a member of the editorial board of CCH for a publication on Chinese law. Benedict is effectively bilingual in English and Chinese.
Areas of Practice
Benedict’s primary area of practice are corporate and corporate finance work, including
takeovers, mergers and acquisitions, rights issues, share placements, convertible notes issue and debt
restructuring. In addition, Benedict has experience in banking work as well as in various aspects of
China-related matters.
Experience
Matters that Benedict has handled include:
- Advising clients in the takeovers of listed companies in Singapore, for the offeror as well as for the offeree company
- Advising Singapore listed companies on rights issues, placement issues,
bonus issues and convertible notes issues
- Advising clients on corporate matters such as capital reduction, share
option schemes and approval processes for major transactions and interested person transactions under the
Singapore Stock Exchange listing rules
- Advising clients on debt restructuring and debt-equity conversion exercise
- Advising clients on business acquisition and disposal
- Advising clients in establishing foreign investment enterprises in various
parts of China for various types of projects, such as a paper mill, underwater theme park, highway concession
projects and manufacturing plants
- Advising clients on agreements relating to PRC power projects, water
projects and construction projects
- Advising clients on cross border joint ventures in Australia, India and
PRC
- Acted for clients in share subscription exercises by institutional
investors, both local and international
- Advising clients on hotel and service apartment management agreements
- Advising clients on various forms of debt financing
- Advising banks on cross border receivable financing, leasing
transactions and retail and consumer banking issues
- Advising banks on PRC based security, such as mortgages of land and
equipment and pledges of shares
- Advising issuers of notes under MTN programs
