The Group

Drew & Napier’s 25-person strong Capital Markets and Funds practice group is a top-tier team specialising in varied and complex transactions in the equity capital markets, debt capital markets, and funds markets.

In our equity capital markets practice, we advise our clients in their initial public offerings and listings, secondary offerings, structuring and listing of real estate investment trusts, dual listings, reverse takeovers, trade sales, privatisations, and compliance with post-listing obligations.

For our debt capital markets practice, we advise our clients in their convertible bond offerings, medium term note programmes,
multi-currency certificates of deposit, as well as fixed and floating rate notes.

In the area of funds markets practice, we advise our clients in their structuring of, establishing, promoting and operating different kinds of funds (including partnerships and companies), (authorised, recognised and restricted) collective investment schemes, and various forms of asset management arrangements.

Other than the breadth of services that we offer, we also provide our clients with depth in expertise.

Our knowledge of our clients’ businesses and the Singapore market is complemented by our ability to use a wide range of perspectives. We are able to offer solutions taking into account the requirements of our clients, regulators, stakeholders, and other professionals. Some of our lawyers are also trained as accountants. This capability is continually deepened by our extensive deal experience and longstanding interactions with the Monetary Authority of Singapore, the Singapore Stock Exchange, and the Inland Revenue Authority of Singapore. Specifically, Boon Ann was involved in the Company Law Regulatory Framework Committee head by Justice Philip Pillay, which presented its final report to the Singapore government in October 2002. This report resulted in major policy changes to the company law and regulatory framework for Singapore.

Boon Ann is the Deputy Managing Director of Drew & Napier’s Corporate and Finance Department. He has extensive experience in corporate finance transactions. Boon Ann was formerly a lecturer at the Law Faculty, National University of Singapore prior to joining Drew & Napier in 1992. For five consecutive years since 2006, Asia Pacific Legal 500 has recommended him as a leading capital markets lawyer who handles domestic and international matters relating to corporate, and mergers and acquisitions work. The Practical Law Company (PLC) Which Lawyer? Cross-border Handbook 2010/11 has also endorsed him as a leading lawyer, while Asialaw Profiles 2010 has listed him as a "leading name".

Wee Kiong has been practicing for over 20 years. With his experience in investment banking, Wee Kiong has a unique combination of investment banking and corporate lawyering skills.
